Terms of Service

These Terms of Service ("Terms") govern your use of Sytovu's digital presence management services. By signing up or using any Sytovu service, you agree to these Terms. If you don't agree, don't use the service.

"Sytovu," "we," "us," and "our" refer to Sytovu LLC. "You" and "client" refer to the business owner subscribing to our services.


1. What We Provide

Sytovu builds and manages your business's digital presence — including your website, Google Business Profile, local SEO, call tracking, and reporting — on a subscription basis. The specific services you receive depend on your plan tier:

  • Found ($79/mo) — Website, hosting, Google Business Profile management, review monitoring, and monthly reporting.
  • Ranked ($139/mo) — Everything in Found, plus ongoing SEO content and keyword rank tracking.
  • Booked ($229/mo) — Everything in Ranked, plus a dedicated tracked phone number, call logging, lead form, and missed-call text-back.
  • Google Ads add-on ($129/mo + ad spend) — Google Ads campaign management, available to Booked clients only. Requires a minimum $300/month ad spend budget.

We reserve the right to update what's included in each tier with 30 days' notice. We will never remove a core capability without offering a plan adjustment.

2. Preview and Activation

Before any payment is required, we build a preview of your website so you can see exactly what you're getting. Your site goes live only after you review the preview and approve it.

By approving your preview, you authorize us to publish your website and begin your subscription. You are not charged until you approve.

3. Billing and Subscription

Subscriptions are billed monthly and renew automatically on your billing date. Payment is processed via Stripe. By subscribing, you authorize us to charge your payment method on file each month until you cancel.

Prices are in US dollars. We may update pricing with 30 days' written notice. If you don't agree to a price change, you may cancel before the new price takes effect.

You are responsible for keeping your payment method current. If a payment fails, we'll attempt to retry and notify you. Accounts more than 14 days past due may be suspended.

4. Cancellation

You may cancel at any time by emailing [email protected]. Cancellations take effect at the end of your current billing period — you keep access through the date you've already paid for. We do not offer prorated refunds for partial months.

When your subscription ends:

  • Website — Your site is taken offline. We'll provide a 30-day window to export your content before deletion.
  • Tracked phone number (Booked tier) — Your dedicated tracked number is released back to Twilio's pool. If you want to port the number to your own carrier, notify us at least 14 days before your cancellation date and we'll initiate a port-out at no charge.
  • Google Business Profile — We remove our manager access. You retain full ownership of your GBP listing.
  • Google Ads sub-account (Google Ads add-on) — See Section 8 below.

5. Your Responsibilities

You agree to:

  • Provide accurate information about your business — name, services, location, phone, and licensing.
  • Inform us promptly of changes to your business (new services, new address, new phone) so we can keep your digital presence accurate.
  • Not use Sytovu services for any illegal purpose or to misrepresent your business to customers.
  • Maintain ownership of your Google Business Profile and grant us manager access as required to deliver your service.

You are responsible for the accuracy of the information you provide. Sytovu publishes what you tell us.

6. Intellectual Property

Your content: Your business name, logo, images, and business information remain yours. We do not claim any ownership over your brand.

Your website: Sytovu builds your site using our platform and templates. While you're a subscriber, you have a non-exclusive license to your live website. If you cancel, the license ends. You may export your content at any time — the generated HTML, copy, and images we created for your business. We retain ownership of the underlying platform code and templates.

Our platform: All Sytovu software, systems, templates, and workflows are proprietary and owned by Sytovu LLC.

7. Call Tracking and Communications

Booked tier clients receive a dedicated local phone number provisioned through Twilio under Sytovu's account. This number forwards calls to your real business line and logs call metadata (caller number, duration, timestamp). Call audio is not recorded or stored.

Missed calls automatically trigger a text-back SMS to the caller from your tracked number. You may disable this at any time by contacting us.

By using call tracking, you acknowledge that call metadata (not recordings) will be stored and included in your reporting.

8. Google Ads (Add-on)

The Google Ads add-on is available to Booked clients only and requires a minimum $300/month ad spend budget. The management fee is separate from your ad spend, which goes directly to Google.

Account structure: Sytovu manages a Google Ads Manager Account (MCC). When you activate the Google Ads add-on, we create a sub-account under our MCC on your behalf. You receive read-only access to view your campaign performance.

If you cancel the Google Ads add-on or your Sytovu subscription: Your campaign data remains accessible for 30 days for export. The sub-account remains under Sytovu's MCC and is not transferred to you. This is a function of how Google's MCC structure works — sub-accounts cannot be migrated out of a manager account. If you want to continue Google Ads independently, you would start a new account. We'll provide a full export of your campaign history, keywords, and ad copy.

Budget control: We will never increase your monthly ad spend budget without your explicit approval. If our optimization recommendations suggest a budget increase, we'll email you a specific recommendation and wait for your confirmation before making any changes.

Ad spend: Your ad budget is billed directly by Google to the payment method on file in your Google Ads sub-account. It does not flow through Sytovu.

9. Limitation of Liability

Sytovu's services are provided "as is." We make no guarantees about specific business outcomes — search ranking positions, call volume, lead volume, or revenue. Digital marketing results depend on many factors outside our control.

To the fullest extent permitted by law, Sytovu's total liability to you for any claim arising from these Terms or our services is limited to the fees you paid in the three months preceding the claim.

Sytovu is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities, even if we were advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Sytovu LLC and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) information you provided that is inaccurate or misleading, (b) your violation of these Terms, or (c) your violation of any third-party rights.

11. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, we'll send notice to your email address at least 30 days before the changes take effect. Continuing to use Sytovu after the effective date constitutes acceptance of the updated Terms.
